Website Terms of Use and SMS/Text Messaging Terms

1. Acceptance of These Terms

These Terms and Conditions (the “Terms”) govern your access to and use of the website located at ephratasolutions.com and any related webpages, forms, chat features, artificial intelligence tools, and communications made available by Ephrata Solutions LLC (“Ephrata Solutions,” “Company,” “we,” “us,” or “our”) (collectively, the “Site”).

By accessing or using the Site, submitting a form, or using an interactive feature, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Disclaimer. If you do not agree, do not use the Site. If you use the Site on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

 

2. Eligibility and Geographic Scope

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site. The Site is directed primarily to businesses and their authorized representatives in the United States and Canada. We make no representation that the Site is appropriate or lawful in every location.

 

3. Website Information and Services

The Site provides information about services that may include AI strategy and consulting, AI search optimization, search engine optimization, digital marketing, websites and e-commerce development, social media marketing, listings, reputation management, advertising, video marketing, AI chatbots, AI receptionists, lead capture, messaging automation, and related solutions.

Site content is provided for general informational and promotional purposes. A form submission, consultation request, assessment, chatbot conversation, estimate, proposal, or other communication does not create a client relationship or obligate either party to purchase or provide services. Services are provided only under a separate written proposal, order form, statement of work, service agreement, or other contract accepted by Ephrata Solutions and the client. If a separate written agreement conflicts with these Terms regarding paid services, the separate written agreement controls.

 

4. No Guarantees of Results

Marketing, SEO, AI visibility, advertising, lead generation, reputation, automation, and business outcomes depend on many factors outside our control, including competition, algorithms, third-party platforms, market conditions, budgets, client participation, content quality, customer behavior, and regulatory changes. We do not promise or guarantee rankings, placement in AI-generated answers, traffic, leads, appointments, conversions, revenue, funding approval, return on investment, or any other specific result.

Examples, estimates, projections, case studies, and testimonials illustrate individual circumstances and are not promises of future performance. Past performance does not guarantee future results.

 

5. AI and Automated Features

The Site or our communications may use AI chatbots, voice agents, receptionists, automated workflows, or similar technologies. These systems may generate incomplete, inaccurate, delayed, or inappropriate responses and may misunderstand a request. AI output is not legal, financial, medical, accounting, employment, or other professional advice and should not be relied upon as a substitute for qualified human review.

Do not submit confidential, privileged, regulated, health, financial-account, payment-card, government-identification, or other highly sensitive information through an AI feature unless we expressly instruct you to use a secure method designed for that information. You are responsible for reviewing information produced by automated tools before relying on or acting upon it. You may request human assistance by contacting us.

 

6. SMS and Text Messaging Terms

6.1 Business Identity and Program Description

Ephrata Solutions LLC sends non-marketing text messages to people who expressly opt in. These messages include lead inquiry responses, appointment scheduling, appointment confirmations, reminders, and service updates. If you separately opt in to marketing messages, we may also send special offers, discounts, and promotional service updates. Marketing and non-marketing consent are separate and optional.

Messages may be sent using an automatic telephone dialing system or other automated technology where permitted. Consent to receive text messages is not a condition of purchasing any property, goods, or services. We send messages only according to the consent choices you select.

 

6.2 Message Frequency and Charges

Message frequency may vary. Message and data rates may apply for messages sent to you from us and from you to us. If you have questions about your text plan or data plan, contact your wireless provider.

 

6.3 Opt-Out and Support

You can cancel the SMS service at any time. Just text “STOP” to +1 (910) 991-9364. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, sign up as you did the first time and we will start sending SMS messages to you again.

If you are experiencing issues with the messaging program, reply with the keyword HELP for more assistance, or get help directly at support@ephratasolutions.com or (252) 404-2167. Opting out of text messages does not cancel any separate service agreement.

 

6.4 Your Mobile Number

You represent that you are the subscriber or customary user of the mobile number you provide and are authorized to consent to messages at that number. You agree to provide an accurate number and to notify us promptly if the number is reassigned, changed, or no longer belongs to you. You may notify us at support@ephratasolutions.com.

 

6.5 Delivery, Carriers, and Availability

Carriers are not liable for delayed or undelivered messages. Text-message delivery is subject to carrier networks and systems outside our control. Messages may be delayed, filtered, duplicated, or not delivered. Not all carriers, devices, or locations may be supported. SMS is not a secure channel and should not be used for emergencies or highly sensitive information. Call 911 or the applicable local emergency service for emergencies.

 

6.6 United States and Canada

Our texting practices are intended to comply with applicable U.S. and Canadian requirements. For Canadian recipients, commercial electronic messages will be sent only with a lawful basis, will identify the sender as required, and will provide an unsubscribe method. Nothing in these Terms limits rights that cannot legally be waived. You are responsible for any charges associated with international or cross-border messaging.

 

6.7 Privacy and Records

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

 

6.8 Changes or Termination

We may change, suspend, or discontinue a messaging program at any time. Updated SMS terms become effective when posted, subject to applicable notice and consent requirements. Continued participation after a lawful update constitutes acceptance of the updated terms.

 

7. Email and Other Electronic Communications

By contacting us or submitting a form, you consent to receive electronic communications related to your request. Promotional email will be sent only as permitted by applicable law. You may unsubscribe from promotional email using the link in the message or by contacting us. You may still receive non-promotional communications relating to active requests, transactions, security, or contractual obligations.

 

8. Acceptable Use

You may use the Site only for lawful purposes. You may not:

  • Violate any applicable law, regulation, contract, intellectual-property right, privacy right, or other right;
  • Submit false, misleading, unlawful, infringing, defamatory, harassing, abusive, or malicious material;
  • Use the Site to transmit malware, spam, unauthorized advertising, or harmful code;
  • Attempt to gain unauthorized access to the Site, accounts, systems, data, or networks;
  • Interfere with the Site’s security, operation, availability, or performance;
  • Scrape, harvest, crawl, index, copy, or extract Site content or data by automated means except as permitted by law or our written authorization;
  • Reverse engineer, probe, test, or circumvent technical restrictions or security measures; or
  • Impersonate another person or misrepresent your identity, authority, relationship, or intentions.

We may restrict or terminate access when we reasonably believe these Terms have been violated or when necessary to protect the Site, users, the Company, or others.

 

9. Information and Content You Provide

You are responsible for information, files, instructions, feedback, and other content you submit through the Site (“User Content”). You represent that you have the rights and permissions necessary to provide User Content and that our handling of it for the requested purpose will not violate another person’s rights or applicable law.

You grant Ephrata Solutions a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and otherwise use User Content only as reasonably necessary to operate the Site, respond to you, provide requested services, maintain security, and comply with law. This license does not transfer ownership of your User Content.

 

10. Intellectual Property

The Site and its content, including text, graphics, logos, branding, layouts, videos, software, processes, and other materials, are owned by or licensed to Ephrata Solutions and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your internal business evaluation and lawful personal use.

You may not reproduce, commercially distribute, license, modify, create derivative works from, publicly display, or commercially exploit Site content without our prior written permission, except as allowed by law. Ephrata Solutions and associated names, logos, product names, and service names are trademarks or trade names of Ephrata Solutions or their respective owners. No license to use any mark is granted by implication.

 

11. Testimonials, Reviews, and Case Studies

Testimonials, reviews, and case studies reflect the experiences of the persons or businesses identified and may not represent typical results. Results vary. We do not promise that you will achieve the same or similar outcome. Any material connection connected with an endorsement will be disclosed as required by applicable law.

 

12. Third-Party Services and Platforms

The Site may refer or link to third-party websites, lenders, software, social networks, search engines, AI platforms, payment processors, analytics providers, telecommunications providers, or other services. Those services are owned and controlled by third parties and are governed by their own terms and policies. We do not control and are not responsible for their availability, security, accuracy, content, decisions, acts, omissions, or changes.

References to ChatGPT, Google, Gemini, Claude, Perplexity, Facebook, Instagram, or any other third-party name or platform do not imply sponsorship, endorsement, or partnership unless expressly stated. Platform features, algorithms, rules, pricing, and availability may change without notice.

 

13. Business-Funding Information and Referrals

Funding information on the Site is general information, not a loan offer, commitment, approval, financial recommendation, or guarantee. Ephrata Solutions is not a bank or lender and does not make credit decisions unless expressly disclosed otherwise. Applications linked from the Site may be handled by independent third parties under their own eligibility standards, terms, disclosures, privacy policies, fees, rates, and approval processes.

We do not guarantee approval, funding amount, timing, rate, cost, or suitability. You should review all lender disclosures and obtain independent financial or legal advice before accepting financing. If Ephrata Solutions may receive a referral fee or other compensation in connection with a referral, that relationship should be disclosed at or before the referral where required by law.

 

14. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Site, you acknowledge the practices described in the Privacy Policy. If these Terms conflict with the Privacy Policy on a matter concerning personal-information handling, the Privacy Policy controls for that matter.

 

15. Informational Content and Disclaimer

Site content is not legal, financial, tax, accounting, medical, employment, or other regulated professional advice. You are responsible for evaluating information and obtaining advice appropriate to your circumstances. Our Disclaimer is incorporated into these Terms by reference.

 

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FEATURES, AI OUTPUTS, AND COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EPHRATA SOLUTIONS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. In that event, exclusions apply only to the greatest extent permitted by applicable law.

 

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPHRATA SOLUTIONS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION; OR DAMAGES ARISING FROM RELIANCE ON SITE CONTENT, AI OUTPUT, THIRD-PARTY SERVICES, MESSAGE DELIVERY, SECURITY INCIDENTS, OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF EPHRATA SOLUTIONS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO EPHRATA SOLUTIONS FOR ACCESS TO THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). This limitation does not apply where prohibited by law and does not limit obligations established in a separate written client agreement.

 

18. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Ephrata Solutions and its members, managers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, awards, losses, costs, and reasonable attorneys’ fees arising from or relating to your unlawful or unauthorized use of the Site, your User Content, your violation of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.

 

19. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Site at any time when reasonably necessary for security, maintenance, legal compliance, prevention of misuse, or protection of rights. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimers, limitations of liability, indemnification, and dispute provisions.

 

20. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except to the extent mandatory law in your place of residence applies. Before filing a claim, you agree to send a written description of the dispute and requested resolution to support@ephratasolutions.com and allow 30 days for a good-faith attempt to resolve it, unless immediate relief is reasonably necessary or this requirement is prohibited by law.

Any judicial proceeding arising from the Site or these Terms must be brought exclusively in the state or federal courts located in Wake County, North Carolina, and each party consents to personal jurisdiction and venue there, except where applicable law gives you a non-waivable right to bring a proceeding elsewhere. Nothing prevents either party from seeking temporary or injunctive relief to protect intellectual-property rights, confidential information, security, or against unauthorized access or misuse.

 

21. Canadian Users and Mandatory Rights

If you are located in Canada, these Terms apply subject to non-waivable rights and remedies under applicable federal and provincial law. Nothing in these Terms excludes or limits liability, warranties, consumer rights, privacy rights, language rights, or jurisdictional rights that cannot lawfully be excluded or limited. If a provision conflicts with mandatory applicable law, that provision will apply only to the extent permitted.

 

22. Changes to the Site or These Terms

We may update the Site and these Terms from time to time. The “Effective Date” identifies the latest revision. Changes take effect when posted unless a later date is stated or additional notice or consent is required by law. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. Material changes to messaging practices will be handled in accordance with applicable consent and notice requirements.

 

23. General Provisions

These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and Ephrata Solutions concerning use of the Site. They do not replace a separately executed client agreement. If any provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, operation of law, or similar transaction. Headings are for convenience only.
